1. Acceptance of Terms

By accessing or using StockJoints services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

2. Description of Services

StockJoints provides e-commerce platform integration and analytical services, including:

  • Multi-platform inventory synchronization (Amazon, eBay, Kaufland)
  • Automated order fulfillment across platforms
  • AI-powered listing optimization using Amazon Brand Analytics data
  • Cross-platform listing management
  • Analytics and reporting services

3. Amazon Selling Partner API Compliance

3.1 Acceptable Use Policy Compliance

By using our services, you acknowledge that we comply with Amazon's Selling Partner API Acceptable Use Policy, including:

  • Section 4.4: We do not aggregate data across multiple Selling Partners. Your Brand Analytics data is processed in complete isolation and used exclusively for your business purposes.
  • Section 4.5: We do not calculate, promote, or publish insights about Amazon's overall business. All analytics focus exclusively on your individual business performance.
  • Section 2.4: We are transparent about our use of AI and machine learning models, including model accuracy and data freshness information.

3.2 Brand Analytics Usage

Our application uses Amazon's Brand Analytics role to provide AI-powered listing optimization. By authorizing our application, you grant us permission to access your Brand Analytics data through Amazon's Selling Partner API for the sole purpose of providing analytical services to your business.

4. User Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • Authorizing our application only if you have the right to grant such authorization
  • Reviewing and approving listing changes before they are applied (unless you enable fully automatic mode)
  • Complying with all applicable laws and marketplace policies
  • Ensuring that any listing changes comply with Amazon's policies and guidelines

5. AI Recommendations and Automated Actions

5.1 Recommendation Accuracy

Our AI-powered recommendations are based on analysis of your Brand Analytics data using machine learning models. While we strive for accuracy, recommendations are provided "as is" and actual results may vary based on market conditions, competitor actions, and other factors beyond our control.

5.2 Seller Control

You maintain full control over listing changes. By default, all recommendations require your approval before implementation. You may enable fully automatic mode at your discretion, but you remain responsible for all listing changes made through our service.

5.3 Limitation of Liability for Recommendations

We are not liable for any negative consequences resulting from implementation of our recommendations, including but not limited to changes in search rankings, sales performance, or account standing with Amazon or other marketplaces.

6. Data Usage Restrictions

You agree that:

  • Your Brand Analytics data will be used exclusively for providing analytical services to your business
  • Your data will not be aggregated with data from other sellers
  • Your data will not be used for competitive analysis or benchmarking against other sellers
  • Your data will not be shared with third parties except as necessary to provide our services or as required by law

7. Intellectual Property

All content, features, and functionality of our services, including AI models, algorithms, and recommendation systems, are owned by StockJoints and are protected by copyright, trademark, and other intellectual property laws.

You retain all rights to your data, listings, and business information. By using our services, you grant us a limited license to use your data solely for the purpose of providing our services.

8. Payment Terms

If you subscribe to paid services, you agree to pay all fees associated with your subscription. Fees are charged in advance and are non-refundable except as required by law. We reserve the right to change our pricing with reasonable notice.

9. Service Availability

We strive to maintain service availability but do not guarantee uninterrupted or error-free service. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including issues with Amazon's Selling Partner API or other third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKJOINTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless StockJoints, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or violation of any marketplace policies or applicable laws.

12. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately.

You may terminate your account at any time by contacting us at stockjoints@gmail.com. Upon termination, we will delete or anonymize your data in accordance with our Privacy Policy.

13. Dispute Resolution

Any disputes arising from or related to these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
